Acceptance of Terms.

The following Terms of Use (“Terms”) govern your use of the website www.cicis.com, our mobile application (collectively, the “Site”), and other online services (together with the Site, the “Services”). The Site is owned by CiCi Enterprises, LP (“Cicis,” “We,” “Us”). This is an agreement between you and Cicis. Please read it carefully, as it is binding on you.

PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING OUR SERVICES. BY USING ANY OF OUR SERVICES (OTHER THAN TO READ THESE TERMS OF USE FOR THE FIRST TIME) YOU ARE AGREEING TO COMPLY WITH THESE TERMS OF USE, WHICH MAY CHANGE FROM TIME TO TIME AS SET FORTH IN “MODIFICATION OF TERMS” BELOW. IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS, THE CICIS PRIVACY POLICY, OR ANY OTHER REQUIREMENT OR GUIDELINE POSTED BY CICIS, DO NOT USE OUR SERVICES. USE OF THE SERVICES SHALL BE DEEMED AS ACCEPTANCE OF THE FOLLOWING TERMS AND CONDITIONS.

Cicis Intellectual Property.

All of the content included on the Site, including our Services and all associated content, including, but not limited to, all text, illustrations, files, images, software, scripts, graphics, photos, sounds, music, videos, information, content, materials, products, services, URLs, technology, documentation, and interactive features included with or available through our Services and all intellectual property rights to the same, including, without limitation, all trademarks, service marks, trade names and trade dress that may appear in our Services (collectively, the “Service Content”) are owned by Cicis, our licensors, our affiliates and/or other third parties. You agree not to reproduce, duplicate, copy, sell, resell or exploit the Service Content for any commercial purpose. None of the Service Content may be reverse engineered, disassembled, decompiled, transcribed, resold, redisplayed or redistributed without our specific prior written consent. Your use of the Service Content is limited to one copy for personal, non-commercial viewing and use only, and you acknowledge that you do not acquire any ownership rights by downloading or accessing the Service Content. Except for the limited use rights granted to you in these Terms, you shall not acquire any right, title or interest in our Services or any Service Content. Further, the trademarks, service marks and logos (the “Trademarks”) used and displayed on the Site are the registered and unregistered Trademarks of Cicis. Nothing on the Site should be construed as granting, by implication, estoppel or otherwise, any license or right to use any Trademark, without the prior written permission of Cicis. Cicis prohibits the use of any of its logos as part of a link to or from any website, unless such link is approved in advance by Cicis in writing. Further, the design and layout of the Site is protected as Cicis trade dress and may not be copied or imitated in whole or in part. Notably, Cicis aggressively enforces its intellectual property rights to the fullest extent provided by law. Any rights not expressly granted in these Terms are expressly reserved.

Cicis Rewards Program.

  1. PLEASE READ CAREFULLY. BY ACCESSING, ENROLLING, OR PARTICIPATING IN THE PROGRAM, YOU AGREE TO THESE ADDITIONAL TERMS AND CONDITIONS (“REWARDS TERMS”). IF YOU DO NOT AGREE TO THESE REWARDS TERMS, DO NOT ACCESS OR PARTICIPATE IN THE PROGRAM.

    Cicis Rewards (the “Program”) is a loyalty program offered by Cicis through which individuals (each, a “Participant” or, as applicable, “you”) will have the opportunity to earn digital points for purchases in accordance with our Cicis Rewards FAQs (the “Points”) which can be redeemed for available rewards at www.cicis.com/rewards (the “Rewards”). Complete information on Points and Rewards will typically be posted via the Site.
  2. Program Eligibility. The Program is available through the Site and provides varying levels of Rewards, based upon Points earned for the successful completion of certain identified activities (each, a “Point Earning Activity”). The Program is open to legal residents of the United States who are at least eighteen (18) years of age at the time of entry and have an active Rewards Account (described below) with Cicis. Only Rewards Accounts registered by individuals are eligible for the Program – corporations or other entities or organizations of any kind are not eligible to participate. We reserve the right to restrict participation in the Program by our employees and/or that of our suppliers or vendors. The Program is void where prohibited by law.
  3. Enrollment. Participants may enroll in the Program via our mobile application or at www.cicis.com/rewards. We reserve the right to, from time-to-time, modify how and where Participants can register for the Program, including offering additional registration locations. To register and become a Participant, you will be required to provide your first name, last name, birth date, a valid email address, and other reasonable information we may request. The successful completion of your registration in the Program will result in the creation of an account (“Rewards Account”).

    Only the individual listed as the Rewards Account holder will accrue Points and will be entitled to Rewards. A Participant may only create one (1) Rewards Account. In the event that a Participant creates multiple Rewards Accounts, Cicis may, at its discretion, elect to merge the accounts and the Points earned to date, cancel one of the accounts, or cancel both accounts. The Rewards Account will be deemed to belong to the authorized account holder of the e-mail address (based on the records of the entity that assigned the email address) identified in the registration for that Rewards Account.
  4. Participant’s Personal Information. The collection, use and disclosure of Participants’ personal information is subject to our Privacy Policy. To learn what information is collected and how Cicis will use the personal information collected in connection with the Rewards Account and/or this Program, read our Privacy Policy.
  5. Communications. By signing up for this Program, Participants agree to receive email messaging regarding Rewards Account information, balances and material and other changes to the Program to the email address associated with Participant’s Rewards Account, as well as advertising and marketing material from Cicis. Participants may unsubscribe from Cicis emails at any time via the unsubscribe link in those emails; provided, however, if you unsubscribe from Cicis’ emails, you may no longer receive email updates about Program benefits. Even if you unsubscribe from marketing communications, you may still receive communications relating to the administration of your Rewards Account and the Program. Each Participant shall be responsible for ensuring that their contact information remains current in their Rewards Account. Your Rewards Account is tied to the email address you used to enroll.
  6. Participant’s Rewards Account. Participant is responsible for maintaining the confidentiality of and for restricting access to their Rewards Account and associated credentials, including, but not limited to, its password. Participants are responsible for all activities taken within their Rewards Account.

    Pause or Termination of Participant’s Rewards Account.

    1. Without limiting any other remedies, Cicis may, without prior notice to Participant, pause or terminate a Participant’s Rewards Account, or deem a Participant ineligible from earning Points or redeeming Rewards, if we suspect that a Participant has engaged in unauthorized, deceptive or fraudulent activity, conduct that is detrimental to Cicis, including the resale of receipts, or any action that violates the intent of these Rewards Terms. Cicis shall be the sole arbiter in such cases, and any decision it makes relating to a pause or termination of a Participant’s Rewards Account shall be final and binding. Rewards Accounts may be paused for investigation and, while paused, a Participant may not earn Points or redeem Rewards.

    2. Rewards Accounts can be terminated for any of the following reasons: (a) a Participant requests that we terminate the Rewards Account; (b) Participant is deceased; (c) Participant fails to respond to repeated attempts by us to contact them regarding the status of their Rewards Account; (d) Participant relocates to a jurisdiction outside of the stated eligibility; (e) a Rewards Account appears to be duplicative; (f) the Rewards Account has been inactive for a one (1) year period (inactivity is defined as no Points earned during such one year period), or (g) Cicis believes or determines, in its sole discretion at any time, that Participant has engaged in unauthorized, deceptive or fraudulent behavior, conduct that is detrimental to Cicis, the Program, or that violates of the letter or intent of these Rewards Terms. If a Participant’s Rewards Account is deactivated, the Participant will forfeit all Points accrued to date and any unredeemed Rewards in the Rewards Account. In addition, Cicis is entitled to invoke any rights or remedies available to us in law or equity against Participant. You agree that Cicis is not liable to you or any third party for any termination or suspension of your Rewards Account or for blocking your use of our Program.
  7. Earning Points Towards Rewards. Participants may earn ten (10) Points for each $1 spent at participating restaurant (a “Qualifying Purchase”), excluding gift card, game card, or third party delivery operator purchases. The dollar amount eligible to earn a Reward will be based upon the post-discount net price of the Qualifying Purchase, excluding tips, taxes, delivery fees and other charges, and will be rounded down to the nearest tenth of a dollar. Points are subject to forfeiture if the Qualifying Purchase is returned. Purchases made prior to creating a Rewards Account are not eligible to earn Points unless redeemed pursuant to the receipt redemption rules below.

    Participants can earn Points for dine-in or carry out purchases by any of the following three (3) possible methods:

    1. At the Register. To earn Points at the register, Participants must complete the following steps:
      1. Participant must first sign into their Rewards Account; then

      2. Proceed with making a Qualifying Purchase; and

      3. Upon payment at the cashier/register stand, present the Rewards QR Code on your Rewards Account via the Site.

    2. On the Site. To earn Points for website or in-application purchases, Participant must first sign into their Rewards Account and then proceed with making a Qualifying Purchase.

    3. Receipt Redemption. To earn Points by inputting a receipt, Participants must complete the following steps:
      1. Participants must first be registered for the Program and have an active Rewards Account; then

      2. Proceed with making a Qualifying Purchase;

      3. Upon payment, retain the receipt showing the Qualifying Purchase; and

      4. Within ten (10) days of the applicable Qualifying Purchase, use the App to follow the applicable prompts to scan the QR code on the receipt.

      If you do not have your receipt QR code, Cicis will not be able to confirm your Qualifying Purchase, and you will not be eligible to receive Points for the purchase. Receipts acquired prior to registration for the Program will not be eligible to earn Points.

    4. Other Point or Reward Earning Activities. Cicis may also offer bonus Points or Rewards through promotional offers to some or all Participants for identified time periods, including as prizes in chance to win games. There will be individualized terms and conditions or official rules for each such offer which will include what action to take to earn Points/Rewards and other limitations or restrictions. Cicis may notify eligible Participants of these offers by posting information on the Site, in restaurants, or via push notifications, text notifications (if the Participant has opted-into text messaging from Cicis), and/or to the email address associated with their Rewards Account.
  8. Limits; Removal. There is no limit to the number of Points a Participant may have in their Rewards Account at any given time. We reserve the right to remove Points from a Rewards Account if we determine that such Points were improperly credited to the Rewards Account or were obtained fraudulently or otherwise in violation of these Rewards Terms.
  9. Points Awarded. There will be a reasonable delay between completion of the Point Earning Activity and when Points are posted to your Rewards Account. Points may have use expiration dates and will be automatically and forever forfeited upon termination of the Program or termination of your Rewards Account. Points are not transferable or assignable. The sale or barter of any Points, other than by Cicis, is prohibited. Cicis is not responsible for your inability or failure to accept, redeem, and/or use Points or Rewards for any reason, including any third-party’s terms and conditions and/or the terms of business or operations pertinent to the redemption of a particular Reward. We reserve the right to require proof of Points earned, including, but not limited to, receipts for Qualifying Purchases. Cicis’ decisions regarding the awarding of Points are final and binding.
  10. Rewards. Participant may view their earned Rewards via the Site or at other locations that may be posted by Cicis. Points cannot be redeemed for purchases for gift cards, game cards, or delivery orders placed with a third-party operator such as DoorDash, Uber Eats or GrubHub, or similar third-party delivery services. We reserve the right to add, remove or modify the available Rewards, as well as their corresponding Point values, at any time for any reason. All Rewards offered are subject to availability. No refunds will be provided on any Reward. Participants are responsible for all costs and expenses associated with the use of any Reward that are not expressly stated as being provided. Participants may not substitute, assign, or transfer Points or a Reward or redeem Points or a Reward for cash. All Reward details are at Cicis’ sole discretion.
    Unless we otherwise allow, only one (1) Reward is permitted per transaction. We may further limit or cap the dollar value of any available Reward and/or limit the number of Rewards that can be redeemed by day or other time period. Point redemptions and/or Rewards may not be combinable with other discounts or offers. Points redeemed in the purchase of an item that is later returned will not be credited to the Participant’s Rewards Account. Those Points are forfeited upon return of the item.
  11. Notice of Financial Incentive. In connection with the Program, we may offer financial incentives and/or price or service differences (“Incentives”) to Participants in exchange for our use of your personal information. To offer these Incentives, we must collect the personal information you provide when you sign up or engage in activities in connection with the Program, such as your email address, referral activity, purchase history, and engagement with Cicis (“Cicis Rewards Data”) so that we can follow your participation in and your engagement with the Program, as described in these Terms and the Privacy Policy. The value of Cicis Rewards Data is calculated by determining the approximate additional spending per Participant, per year compared to individuals who have not participated in Program. The value of Cicis Rewards Data is reasonably related to the costs associated with offering the Incentives. You can withdraw from or cancel your enrollment in the Program at any time by contacting us at or exercising any cancellation option we make available in your Rewards Account.
  12. Points and Rewards: Value, Expiration, & Forfeiture.

    1. NO CASH VALUE OR TRANSFERABILITY. Points and Rewards do not constitute property, do not entitle Participant to a vested right or interest and have no cash value. As such, Points and Rewards are not redeemable for cash, transferable or assignable for any reason, and are not transferable upon death, as part of a domestic relations matter or otherwise by operation of law. The sale or transfer of Points, receipts used to claim Points, or Rewards is strictly prohibited. Points, receipts used to claim Points, or Rewards may not be sold on any secondary market, and any transfer of the same to a secondary market shall be deemed void. Any Points remaining in a Participant’s Rewards Account if the Program is canceled will be forfeited without compensation. There shall be no carry over or transfer of Points to other Cicis programs, unless otherwise determined by us in our sole and absolute discretion. As such, all Points and Rewards are only associated with the email address and/or phone number of the Rewards Account.

    2. Point Expiration. Points will expire 365 days from the date of the Qualifying Purchase.

  13. Rewards General Terms and Conditions.

    1. Participants are responsible for the payment of all taxes which may result from participation in the Program.

    2. We reserve the right to pause or discontinue the eligibility of any person who uses or is suspected of using the Program in a manner inconsistent with these Rewards Terms or with any federal or state laws, statutes or ordinances. In addition to pause or discontinuance of Program eligibility, we shall have the right to take appropriate administrative and/or legal action against such persons, including criminal prosecution, as it deems necessary in its sole discretion.

    3. Any attempt by a person to undermine the legitimate operation of the Program may be a violation of criminal and civil law, and, should such an attempt be made, Cicis may seek damages from any such person to the fullest extent permitted by law.

    4. Cicis’ failure to enforce any provisions of these Rewards Terms shall not constitute a waiver of that or any other provision.

    5. All questions or disputes regarding eligibility for the Program, the accrual of Points, the availability of Rewards, or a Participant’s compliance with these Rewards Terms will be resolved by Cicis in its sole discretion. By participating, Participants agree that all decisions made by Cicis or its designated agents regarding the Program, Points, Rewards or Participant’s eligibility are final.

    6. Neither Cicis nor its agents are responsible for any incorrect or inaccurate information supplied by Participants regarding the Program.

    7. Participants are responsible for maintaining updated contact information in their Rewards Account.

    8. The Program is subject to all applicable laws and regulations.

  14. Program Modification. We reserve the right in our sole discretion and at any time and for any reason to modify or discontinue any aspect or feature of the Program. We may elect to change the Qualifying Purchases and/or the number of Points awarded per dollars spent or the other activities described above at any time during the Program. We further reserve the right to change, add or remove the methods by which Participants can earn Points. We further reserve the right to change the Rewards offered through the Program and the number of Points required for a given Reward.

User Content.

Cicis makes no representations regarding the accuracy or propriety of the information posted by its consumers or users to the Site. Cicis relies on its users to independently assess such information’s usefulness, accuracy and completeness. All such information is presented on an “as is” basis. By using and posting any materials onto the Site (“User Content”) you have an independent obligation and hereby agree not to include in any User Content any information or material which is protected by third party proprietary rights, including copyright, trademark, rights of privacy or publicity. Music is not permitted in any posting. Submission of User Content is evidence of your representation and warranty that the User Content complies with our Community Posting Guidelines and can be used by Cicis, and any other third party, in any manner or medium, without restriction as to manner, frequency or duration of use on a worldwide, perpetual basis. By submitting or uploading User Content to the Site, you hereby agree that Cicis, its successors, and any of its users, agents or assigns, may freely, and without restriction, use, edit, distribute, access, view, store, publish and revise any such User Content for any commercial purpose, in any medium now existing or hereinafter developed, and to use your name, likeness and any personal information you submit with the User Content without your prior approval or the payment of any compensation. You also grant each user of the Site a non-exclusive license to access your User Content as permitted through the functionality of the Site.

You understand and agree that we reserve the right, but not the obligation, to monitor, review, revise, reject, or remove any User Content without notice for any of the following reasons: (i) if we feel it violates our Community Posting Guidelines; (ii) if it is unlawful, threatening, pornographic, violent, political, or otherwise inappropriate; (iii) if such removal is necessary to protect the rights, property or personal safety of Cicis, our users, and the public; (iv) if we are required to do so by law; (v) if we believe in our sole discretion that doing so will improve our Site and the experience of our users; or (vi) for any other purpose in our sole discretion. We may, at our sole discretion, immediately terminate your access to the Site (including, without limitation, the Program) should your conduct fail to conform to the Community Posting Guidelines. In addition, you understand that you are personally responsible for your behavior while on the Site and agree to indemnify and hold Cicis, and our affiliates, business partners, and their respective officers, directors, employees, and agents, harmless from and against any loss, damage, liability, cost, or expense of any kind (including attorneys’ fees) that we may incur in connection with a third party claim or otherwise, in relation to your access, use or posting to the Site.

Digital Millenium Copyright Act Notice.

In accordance with the terms of the Digital Millennium Copyright Act (the “Act”), Cicis has registered an agent with the United States Copyright Office, and will respond promptly to claims of copyright infringement that are reported to the Designated Agent, and we avail ourselves of the protections under the Act. Our Designated Agent is: Guest Concerns, 1080 West Bethel Road, Coppell, TX 75019, or via e-mail to [email protected].

Cicis reserves the right to remove any material or information on the Site, which allegedly infringe another person’s copyright. If you are a copyright owner (or authorized to act on behalf of the copyright owner) and believe that your work’s copyright has been infringed, please report your notice of infringement to us by providing our Designated Agent with a written notification of claimed infringement that includes substantially the following information:

  1. A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;

  2. Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single Site are covered by a single notification, a representative list of such works at that Site;

  3. Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material;

  4. Information reasonably sufficient to permit us to contact you, such as an address, telephone number, and, if available, an electronic mail address at which you may be contacted;

  5. A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and

  6. A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

We will investigate notices of copyright infringement and take appropriate actions under the Act. Inquiries that do not follow this procedure may not receive a response.

Indemnification

You agree to defend, indemnify and hold harmless Cicis, our officers, directors, employees, parents, partners, successors, agents, distribution partners, affiliates, subsidiaries, and their related companies (collectively, the “Cicis Parties”) from and against any and all claims, liabilities, losses, damages, obligations, costs and expenses (including reasonable attorney’s fees and costs) arising out of, related to, or that may arise in connection with: (i) your use of our Services; (ii) User Content provided by you or through use of your Rewards Account; (iii) any actual or alleged violation or breach by you of these Terms; (iv) any actual or alleged breach of any representation, warranty, or covenant that you have made to us; or (v) your acts or omissions. You agree to cooperate fully with us in the defense of any claim that is the subject of your obligations hereunder.

If you are using our Site on behalf of a business, that business accepts these Terms. It will hold harmless, defend, and indemnify the Cicis Parties from any claim, suit or action arising from or related to the use of the Site or violation of these Terms, including any liability or expense arising from claims, losses, damages, suits, judgments, litigation costs and attorney’s fees.

Disclaimer of Warranties.

YOU EXPRESSLY AGREE THAT YOUR USE OF OUR SERVICES IS AT YOUR OWN RISK. OUR SERVICES AND SERVICE CONTENT (INCLUDING SOFTWARE) ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING AND TO THE FULLEST EXTENT PERMITTED BY LAW, THE CICIS PARTIES DISCLAIM ANY AND ALL WARRANTIES, INCLUDING ANY: (I) WARRANTIES THAT OUR SERVICES WILL MEET YOUR REQUIREMENTS; (II) WARRANTIES CONCERNING THE AVAILABILITY, ACCURACY, SECURITY, USEFULNESS, TIMELINESS, OR INFORMATION CONTENT OF OUR SERVICES OR SERVICE CONTENT; (III) WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE; (IV) WARRANTIES FOR SERVICES OR GOODS RECEIVED THROUGH, ADVERTISED OR ACCESSED THROUGH OUR SERVICES; (V) WARRANTIES CONCERNING THE ACCURACY OR RELIABILITY OF THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF OUR SERVICES; (VI) WARRANTIES THAT YOUR USE OF OUR SERVICES WILL BE SURE OR UNINTERRUPTED; AND (VII) WARRANTIES THAT ERRORS IN OUR SERVICES OR SERVICE CONTENT (INCLUDING SOFTWARE) WILL BE CORRECTED.

Limitations of Liability.

UNDER NO CIRCUMSTANCES SHALL ANY OF THE CICIS PARTIES BE LIABLE FOR DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES (EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF, RELATING TO, OR IN ANY WAY CONNECTED WITH OUR SERVICES OR THESE TERMS OF USE. YOUR SOLE REMEDY FOR DISSATISFACTION WITH OUR SERVICES INCLUDING, WITHOUT LIMITATION, SERVICE CONTENT, IS TO STOP USING OUR SERVICES. SUCH LIMITATION SHALL ALSO APPLY WITH RESPECT TO DAMAGES INCURRED BY REASON OF OTHER SERVICES OR PRODUCTS RECEIVED THROUGH OR ADVERTISED THROUGH THE SITE OF ANY LINKS ON THE SITE. SUCH LIMITATION SHALL ALSO APPLY WITH RESPECT TO DAMAGES INCURRED BY REASON OF ANY CONTENT POSTED BY A THIRD-PARTY OR CONDUCT OF A THIRD-PARTY USING OUR SERVICES.

IN STATES THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW. IN ALL EVENTS, THE AGGREGATE LIABILITY OF CICIS AND ANY OTHER PARTY INVOLVED IN CREATING, ADMINISTRATING, PRODUCING OR DISTRIBUTING THE SITE, IF ANY, SHALL BE LIMITED TO $50.00.

Governing Law.

These Terms shall be governed by and construed in accordance with the laws of the state of Texas without regard to its conflict of laws rules. Exclusive jurisdiction and venue in connection with any dispute between you and Cicis (“Dispute”) shall lie in the state courts located in Dallas, Texas or the federal courts located in Dallas, Texas. You hereby waive any right you might have to resolve any Dispute on a class action basis or on any basis involving claims brought in a purported representative capacity on behalf of the general public or other persons similarly situated. Any cause of action you may have with respect to Cicis, or the Services must be commenced within one (1) year after the claim or cause of action arises or such claim or cause of action shall be barred.

Product Availability and Pricing.

The products displayed on the Site are available through the Site and in select Cicis stores across the United States. Product availability is subject to change without notice and may vary from store to store and on the Site. The prices displayed at the Site are quoted in U.S. Dollars and must be paid in U.S. Dollars. Cicis reserves the right to modify or discontinue, at any time, some or all of the products or services available on the Site, with or without notice.

Privacy.

Our use of the information you provide to the Site and Services is governed by the terms and conditions set out in our Privacy Policy.

Account.
